Ennostar Inc. (TWSE: 3714, “Ennostar”) has adhered to its core principle of prudent operations and, in recent years, has actively implemented internal improvement measures, optimized its product portfolio and capacity allocation, and disposed of non-strategic investments and idle assets. These efforts have generated positive results by recovering cash and enhancing asset utilization.

At today’s Board meeting, the Board of Directors approved a cash capital reduction to optimize the Company’s capital structure and return capital to shareholders. Under the proposed capital reduction, shareholders will receive approximately NT$4.58 in cash per share. The proposal will be submitted for approval at the Company’s Annual General Meeting on May 26.

The Company proposes to reduce its capital by approximately NT$3,379,404,600 through the cancellation of 337,940,460 shares, representing a capital reduction ratio of approximately 45.8%. Upon completion of the capital reduction, the Company’s paid-in capital will be reduced from approximately NT$7.38 billion to NT$4.0 billion.

Subject to approval by the shareholders at the Annual General Meeting and effectiveness upon filing with the competent authority, the Board of Directors has authorized the Chairman to determine matters relating to the share exchange operation plan, the capital reduction record date, the record date for the issuance of replacement shares, and other related matters.
