Sustainability & ERM Committee Responsibilities

Ennostar established the ESG Corporate Sustainability Committee at the end of 2021 as a functional committee under the Board of Directors. The Committee is composed of the Group Chairperson, independent directors, vice presidents, and senior executives of subsidiaries. It coordinates and plans the Group’s ESG policies and sustainability roadmap, identifies ESG-related risks and opportunities to inform investment strategies, oversees the setting of ESG performance targets and their achievement, and designated 2022 as the inaugural “ESG Year.” To demonstrate our commitment to corporate sustainability and risk management to external stakeholders, in 2024 the Board resolved to rename the “ESG Corporate Sustainability Committee” as the “ Sustainability and Risk Management Committee.”

The Board reviews, on a quarterly basis, the progress and performance of ESG strategic objectives and the implementation status of various initiatives submitted by the Corporate Sustainability and Risk Management Committee. For example, after Ennostar announced its commitment to RE100—an initiative jointly led by The Climate Group and CDP (Carbon Disclosure Project)—the Board approved an action plan for the Group’s sites to begin progressively procuring and using renewable electricity starting in 2025. For material ESG matters, the Sustainability & ERM Committee must submit proposals to the Board for resolution; the Board evaluates and provides guidance before any major actions are executed.
