By this TSMC SSL investment case, TSMC and Epistar have building mutual

trust relationship.

In the event that Epistar decide to raise capital, TSMC will be invited to

participate and TSMC agrees to financially invest Epistar within 600 million

NT dollars and not more than 1% of Epistar whole shares.
