 The boards at both Epistar Corporation and CHIP STAR Ltd. approved on
 May 6,2015 to proceed the short-form merger with Epistar as the surviving
 entity and CHIP STAR as the dissolving entity. The merger record date is
 indicatively set on June 29, 2015, and Epistar shall assume the rights and
 obligations of CHIP STAR starting from merger record date.
