 merger with Epistar as the surviving entity and HUGA Optotech Inc. and

 Formosa Epitaxy Incorporation as the dissolving entity. The merger record

 date is indicatively set on September 29, 2016, and Epistar shall assume

 the rights and obligations of HUGA Optotech Inc. and Formosa Epitaxy

 Incorporation starting from merger record date.
