8.Countermeasures: In response to the company's future operational needs, EPISTAR intends to divide current business-under-development into three major business groups

 such as:

 (1) The business group responsible for the existing LED business and   the Long-wavelength Laser (LD)

 (2) The Semiconductor Foundry Group responsible for VCSEL and GaN on Si Power Electronics components

 (3) The component and module business group will focus on the products

     which manufactured by new and non-traditional technologies and on  the highly customized service for end customers.

     The plans for the spin-off of the business group into independent and listing subsidiaries will be submitted to the board of directors/shareholders and the competent authority for   approval, depending on the progress and needs of the business development of each business group.
